What is Unilateral NDA?:

This Agreement prevents the disclosure of confidential information to the public or to any parties that are not signatories to the Non-Disclosure or confidentiality.

When is it used?:

Confidential information may either be shared by one or both parties in a transaction. Non-Disclosure or confidentiality Agreements typically protect the interest of the party that is disclosing the confidential information. Accordingly, the Unilateral NDA or Non-Disclosure Agreement is typically used when one party is sharing sensitive or confidential information with the other, so that the Disclosing Party remains protected from unlawful disclosure of its information.
